1. Acceptance of Terms

By accessing or using the platform operated by The Winners Circle Group ("we," "us," or "our"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this platform.

2. Invitation-Only Access

The Winners Circle Group is an invitation-only consortium of elite financial professionals. Access to the platform is granted solely at our discretion. Membership does not transfer and may be revoked if these Terms are violated or if membership criteria are no longer met.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3. Use of the Platform

You agree to use the platform only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the platform in any way that violates applicable federal, state, or local laws or regulations.
• Transmit any material that is defamatory, offensive, or otherwise objectionable.
• Attempt to gain unauthorized access to any portion of the platform or its related systems.
• Interfere with or disrupt the integrity or performance of the platform.
• Share your credentials or grant access to any unauthorized third party.
• Use client financial data obtained through the platform for any purpose outside of authorized financial review services.

4. Personal Financial Review (PFR) System

The PFR system is a proprietary tool designed to assist licensed financial professionals in conducting structured financial reviews with clients. All output generated by the PFR system — including scores, reports, and recommendations — is intended as a professional aid only and does not constitute financial, investment, tax, or legal advice.

You are solely responsible for the accuracy of information entered into the PFR system and for any advice or recommendations you provide to clients based on its output. The Winners Circle Group assumes no liability for client outcomes arising from the use of PFR-generated materials.

5. Confidentiality

All information shared within the platform — including client data, proprietary methodologies, training materials, and member communications — is strictly confidential. You agree not to disclose any such information to parties outside of The Winners Circle Group without prior written consent.

6. Intellectual Property

All content on this platform — including but not limited to software, text, graphics, logos, training materials, the PFR scoring methodology, and the Financial Needs Analysis system — is the exclusive property of The Winners Circle Group and is protected by applicable intellectual property laws. No content may be reproduced, distributed, or used without our express written permission.

7. Data Privacy

Your use of the platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the platform, you consent to the collection and use of data as described therein.

8. Disclaimer of Warranties

The platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the platform will be uninterrupted, error-free, or free of viruses or other harmful components. Your use of the platform is at your sole risk.

9. Limitation of Liability

To the fullest extent permitted by law, The Winners Circle Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of — or inability to use — the platform, even if advised of the possibility of such damages.

10. Termination

We reserve the right to terminate or suspend your account and access to the platform at any time, without notice, for conduct that we believe violates these Terms or is harmful to other members, us, third parties, or the integrity of the consortium.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Nassau County, New York.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last updated" date at the top of this page. Continued use of the platform after any such changes constitutes your acceptance of the new Terms.
